TERMS AND POLICIES

1. Who we are

This website and the BROADCASTERS collection are published by Paracyt ("Paracyt", "we", "us"). BROADCASTERS is an original series produced for ON CHAIN NETWORK, and the collection is its first companion release. The artwork, the episodes, the models and the software running this site are produced in house.

References in these terms to "the collection" mean the BROADCASTERS non-fungible tokens on Robinhood Chain. References to "the site" mean broadcasters.tv and any subdomain of it.

2. What you receive

Minting a BROADCASTER records a non-fungible token to your wallet address on Robinhood Chain (chain id 4663). That token is a digital collectible. It is a record on a public blockchain that points to artwork and metadata served from this site.

A BROADCASTER is not a share, a security, a unit in a fund, a loan, a debt instrument, a deposit, or a claim on Paracyt or on any revenue of Paracyt. It carries no dividend, no profit share, no voting right over Paracyt or its business, and no entitlement to any future product or payment. Nothing on this site is an offer of securities or an invitation to invest.

Ownership of the token is determined solely by the blockchain. If you transfer, sell, burn or lose access to the token, you lose everything attached to it. We cannot reverse a transfer, recover a token sent to the wrong address, or restore access to a wallet you cannot open.

3. Cost and fees

The first BROADCASTER minted by a wallet is free. Paracyt charges nothing for it.

Wallets that pre-registered before the mint opened receive their first two free instead of one.

Additional BROADCASTERS cost the equivalent of $1 each, payable in USDG, up to a maximum of 20 per wallet. That limit and the price are enforced by the collection contract.

You will still pay the Robinhood Chain network fee (gas) for your own transaction, on free and paid mints alike. That fee goes to the network, not to us, and we do not control it. A wallet with no balance for gas cannot mint, however free the first one is.

All mints are final and no refunds are given. A blockchain transaction cannot be reversed by us or by anyone. Do not pay for a BROADCASTER expecting to be able to undo it.

4. Secondary sales

The collection contract specifies a fee of 2% on secondary sales, payable to a wallet designated by Paracyt. Where a marketplace supports the EIP-2981 royalty standard and chooses to honour it, that fee is applied when a BROADCASTER is resold.

We want to be plain about the limits of this. Royalty payment is not enforced by the blockchain itself. It depends on the marketplace choosing to respect it, and some marketplaces do not. A direct wallet-to-wallet transfer pays no fee. We make no representation that any particular sale will result in a fee being paid, and this fee is not a promise of revenue to anyone, including us.

The fee percentage and receiving wallet are set in the contract at deployment and may be updated by Paracyt where the contract permits it. The current values are shown on the site.

5. Pre-registration

Before the mint opens you may pre-register a wallet address by signing a message with that wallet. Signing costs nothing and is not a transaction.

Pre-registration clears the registered wallet for a stated number of mints. It is important that you understand what it does not do:

• It does not reserve a specific character or any particular artwork.
• It does not hold a place in a queue or guarantee priority.
• It does not guarantee that you will receive a BROADCASTER.
• It does make your first two mints free instead of one.
• It does not waive the per-wallet cap or the price of additional mints.

The mint remains first come, first served. If the collection is exhausted before you mint, pre-registration gives you no claim and no compensation. The pool is the same pool for everyone, and the character you receive is selected at random from whatever remains.

We may close pre-registration, cap the number of registrations, or change the allocation at any time before the mint opens.

5a. Broadcaster Pass allocation

Nine holders of the ON CHAIN NETWORK Broadcaster Pass operate channels on the network. Each badge holder receives ten BROADCASTERS drawn at random and one main cast member.

These allocations are minted separately at deployment, before public minting opens. They do not come out of the public pool and they do not come out of anybody else's mint. The eleven main cast in the public pool remain in the public pool, available to anyone; badge holders cannot mint those. The total allocated to badge holders is ninety-nine tokens.

6. Attachments

BROADCASTERS is a multi-stage release. After the initial mint, holders may be offered the opportunity to mint attachable items. Only a wallet holding a BROADCASTER may mint an attachment for it.

The function of each attachment is revealed when it is minted and is not disclosed in advance. Some attachments may carry additional functions or holds. We make no representation about what any particular attachment will do, what it will be worth, or that any attachment stage will take place at all. Timing, pricing, supply and functionality of any future stage are subject to change or cancellation at our discretion.

7. Risk

Blockchain assets carry real and material risk. By minting, pre-registering, or otherwise using this site you acknowledge that you understand and accept the following:

• The value of a digital collectible is speculative and may fall to zero. There may be no market for it at all.
• Blockchain transactions are irreversible. A mistake cannot be undone by us or by anyone.
• Smart contracts may contain defects. A defect may result in permanent loss.
• Networks can congest, fork, halt, or be discontinued. Robinhood Chain is operated by a third party and we do not control it.
• Wallet software, browser extensions and hardware can fail or be compromised. Anyone who obtains your private key or seed phrase controls your assets permanently.
• Phishing sites imitating this one may exist. Always verify the address in your browser before signing anything.
• The tax treatment of digital assets varies by jurisdiction and is your responsibility.
• Regulation may change in a way that affects your ability to hold or transfer the asset.

Nothing on this site is financial, investment, legal or tax advice. If you need advice, obtain it from a qualified professional in your own jurisdiction.

8. No warranty

The collection, the artwork, the metadata, the site and everything associated with them are provided "as is" and "as available", with all faults and without warranty of any kind, whether express, implied or statutory.

To the fullest extent permitted by law, Paracyt disclaims all warranties including any implied warranty of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement.

We do not warrant that the site will be uninterrupted, timely, secure or error free; that any defect will be corrected; that the artwork or metadata will remain available at any particular address; that the collection will retain any value; or that any future feature, stage, attachment or episode will be delivered.

9. Limitation of liability

To the fullest extent permitted by law, Paracyt and its officers, employees, contractors and affiliates will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, data, goodwill, or digital assets, arising out of or connected with the collection or the site, whether based in contract, tort, negligence, strict liability or any other theory, and whether or not we were advised of the possibility of such loss.

Our total aggregate liability to you for any claim arising out of or connected with the collection or the site is limited to the greater of the amount you actually paid us for BROADCASTERS or one hundred United States dollars (USD 100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. Where that is the case, the exclusions and limitations above apply to the greatest extent permitted by the law that applies to you, and nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

You agree to indemnify and hold Paracyt harmless from any claim, loss or demand, including reasonable legal fees, arising from your use of the site, your breach of these terms, or your violation of any law or the rights of a third party.

10. Intellectual property

Paracyt retains all copyright and other intellectual property rights in the BROADCASTERS artwork, characters, names, scripts, episodes, music, software and branding.

If you hold a BROADCASTER, we grant you a worldwide, non-exclusive, royalty-free licence to display the artwork of the token you hold, to use it as a personal profile picture, and to resell or transfer the token together with that licence. The licence lasts only as long as you hold the token and passes to the new holder on transfer.

That licence does not permit you to use the artwork or the BROADCASTERS or ON CHAIN NETWORK names to sell merchandise, to imply endorsement or partnership, to register a trade mark, to create a competing collection, or to use the material in connection with anything unlawful or hateful. We may revoke the licence for any holder who does so.

11. Acceptable use

You must not use the site to break the law, to attempt to gain unauthorised access to any system, to disrupt the service, to scrape it at a rate that degrades it for others, to misrepresent yourself as us, or to register wallets you do not control.

You confirm that you are of legal age in your jurisdiction, that you are not subject to sanctions, and that you are not located in a jurisdiction where holding digital collectibles is unlawful. We may refuse or revoke access to the site at our discretion.

12. Privacy

We collect as little as we can. Specifically:

• Wallet addresses. If you pre-register or mint, your public wallet address is stored. Wallet addresses are public information on the blockchain by design.
• Signatures. The signature you produce when pre-registering is stored so that the registration can be verified later. Signing does not give us access to your funds.
• IP address. Recorded with a pre-registration to limit abuse.
• Server logs. Ordinary web server records of requests.

We do not collect your name, email address, postal address or payment details, because the mint is free and requires none of them. We do not use advertising trackers or third party analytics. We do not sell or rent any data to anyone.

Data is held for as long as the collection is operated. You may ask us to delete a pre-registration record by contacting us; we cannot delete anything recorded on the blockchain, because nobody can.

13. Availability and changes

We may modify, suspend or discontinue any part of the site or the collection at any time, including the mint, pre-registration, any attachment stage, and the hosting of artwork and metadata. We will make reasonable efforts to keep artwork and metadata available, but we do not guarantee it in perpetuity.

We may update these terms. The date at the top of this page will change when we do, and the updated version applies from the moment it is published. Continuing to use the site after a change means you accept it.

14. Governing law

These terms are governed by the laws of the State of California, United States, without regard to its conflict of laws rules. The courts of California have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any court of competent jurisdiction.

If any provision of these terms is found unenforceable, that provision is severed and the rest remains in force.
